Independent Contractor Platform Agreement
Mirrors the in-app Driver Platform Agreement. Your acceptance history in the Reroute app is authoritative.
Reroute Technologies LLC is a technology company operating a software platform that connects customers with independent contractor drivers. We provide matching, communication, payment, and compliance tools. We do not perform deliveries, employ drivers, or act as a carrier, insurer, or bailee of items moved through the Platform. This Agreement governs your use of driver features as an independent contractor. Reroute does not employ you or guarantee work or earnings. Required cargo liability coverage for Platform Jobs is arranged through GigSafe (or another Reroute-approved carrier) as described in Section 7.D and Pay & Protection; Reroute itself is not a cargo insurer. Capitalized terms are defined in Section 3.
1. Agreement and Parties
This Driver Platform Agreement ("Agreement") is a binding contract between you and Reroute Technologies LLC ("Reroute," "we," "us," or "our"). By registering as a driver, checking acceptance boxes, electronically signing, or accessing driver features, you agree to this Agreement together with the Terms of Service, Privacy Policy, Arbitration & Class Action Waiver, Driver Deactivation Policy, and Background Check Authorization. If you do not agree, do not drive on the Platform.
2. Background
Reroute operates a technology platform that connects customers, retailers, pharmacies, and other shippers with independent drivers for pickup, delivery, return, marketplace, and related logistics services. You are engaged as an independent contractor to perform delivery services for Reroute customers through the Platform. Reroute does not itself transport goods as a common carrier; it provides software, dispatch, and payment facilitation. Where required, you may also sign a separate GigSafe Independent Contractor Agreement; if both apply, they are read together and the more specific provision controls for the subject matter addressed.
3. Definitions
As used in this Agreement, the following terms have the meanings below.
A. Platform
The Reroute mobile application, website, dispatch tools, and related technology used to offer, accept, perform, and document jobs.
B. Services
Pickup, delivery, return, marketplace, pharmacy, freight, and related transportation services you perform for Reroute customers through the Platform.
C. Job
An offer of Services shown in the app, including pay, timing, requirements, and service-specific instructions, which you may accept or decline.
D. Earnings
Compensation owed to you for Services you accept and complete in accordance with this Agreement, as shown in the app before acceptance and recorded upon completion.
E. Confidential Information
Non-public information of Reroute, its customers, or other Platform users, including customer lists, pricing, routes, order details, patient or pharmacy information, software, policies, personal data, and operational data, regardless of form (electronic, written, or oral), whether disclosed before or after you register.
4. Independent Contractor Relationship
You are an independent contractor, not an employee, agent, joint venturer, or partner of Reroute or any customer. You control when, whether, and how you accept jobs, subject to Platform requirements and applicable law.
- Reroute does not guarantee any minimum number of jobs, earnings, or hours. Periods without work are normal.
- You are paid Earnings only for Services you accept and complete in accordance with this Agreement.
- You may perform services for other businesses, including other delivery platforms, unless restricted by law or a separate written agreement with a third party.
- Reroute does not require exclusivity and may engage other drivers or vendors at any time.
- You perform Services personally as an individual independent contractor. You may not employ others, subcontract, or use non-Platform personnel to perform accepted Jobs.
- You are not entitled to employee benefits, minimum wage, overtime, workers’ compensation from Reroute, or unemployment insurance from Reroute.
- You are solely responsible for income, self-employment, and other taxes on your earnings. Reroute does not withhold taxes unless required by law and may issue tax forms (e.g., 1099) when required.
- Nothing in this Agreement creates an employment relationship. If any agency determines otherwise, you bear associated taxes, withholdings, penalties, and costs to the extent permitted by law.
5. Term; Termination
This Agreement begins when you register or first access driver features and continues until terminated.
- You may stop using the Platform at any time by going offline, deactivating your account, or notifying us through the app or at support@go-reroute.com.
- Either party may terminate on thirty (30) days’ written notice, except where immediate termination applies under the Driver Deactivation Policy or applicable law.
- Reroute may suspend or deactivate your access immediately for fraud, safety risks, policy violations, failed background checks, insurance lapse, or other grounds in the Driver Deactivation Policy.
- Upon termination, you remain responsible for completed Services, outstanding offsets, Confidential Information obligations, indemnity, arbitration, and other provisions that by nature should survive.
6. Services; Acceptance and Performance
Through the Platform you may accept pickup, delivery, return, marketplace, and related jobs offered in your service area. Job details, Earnings, timing, and requirements are shown before acceptance.
- You may decline or ignore offers without penalty, subject to deactivation policies for fraud, abuse, or repeated accepted-job failures.
- Once you accept a Job, you agree to complete it professionally, safely, and in accordance with Platform rules, customer instructions shown in the app, and applicable law.
- You determine the manner and means of performing accepted Services, including routes and delivery sequence, unless a specific lawful customer or regulatory requirement applies.
- You may decline Jobs that require technology or procedures you do not wish to use; if you accept such a Job, you agree to use the required app features for that Job.
- You must personally perform accepted Jobs. You may not delegate, subcontract, assign, or permit another person—including employees, hired helpers, or anyone not accepting the same Job under their own verified Platform account—to perform Services under your account.
- You may not use another person’s account or misrepresent your identity.
7. Duties and Responsibilities
You agree to the following while using the Platform:
A. Safety and professionalism
Follow traffic laws; drive safely; treat customers, retailers, pharmacies, and the public respectfully; and remain professional in all communications (text, phone, email, and in person). Threats, harassment, discrimination, confrontational conduct, false accusations, or disparagement of Reroute or its customers may result in immediate deactivation.
B. Honest app use
Use the app honestly, including availability, status updates, GPS, and proof-of-delivery data. Do not tamper with, falsify, or manipulate records.
C. License, vehicle, and eligibility
Maintain a valid driver’s license, registration, and any required permits. Be at least 21, legally authorized to work, and eligible to drive in your operating area. Maintain a roadworthy vehicle. One driver account per person.
D. Insurance
Maintain active auto liability insurance that meets applicable state legal minimums at your sole cost. While you perform an accepted Job, Reroute may arrange commercial auto liability (CAL), occupational accident (OcAcc), and cargo coverage through GigSafe as described in driver Pay & Protection materials; those programs supplement—but do not replace—your obligation to maintain your own auto policy at state minimums.
- Carry at least the minimum bodily injury and property damage limits required in each state where you operate.
- Heavier commercial vehicles must meet any higher minimums required by law for that vehicle class.
- Upload and maintain current insurance and registration when requested. Lapse or misrepresentation may result in immediate deactivation.
- You must maintain occupational accident coverage through GigSafe or another Reroute-approved carrier when required for Platform access. Reroute’s driver program is limited to individual independent contractors who personally perform Services; Platform Jobs may not be performed by your employees, subcontractors, or other non-Platform personnel.
- You must maintain cargo insurance through GigSafe (or another Reroute-approved carrier) for Platform Jobs. GigSafe cargo coverage provides legal liability protection for goods in your care, custody, and control during transportation—currently up to $10,000 for covered perils (including fire, collision, theft of the entire shipment, and vehicle overturn), subject to a $1,000 deductible and full policy terms. Premium is 1% of your settlement amount, capped at $5.00 per settlement for vehicles under 10,000 GVWR and $7.00 per settlement for vehicles over 10,000 GVWR, deducted per settlement as disclosed in GigSafe Attachment A and Pay & Protection.
- Commercial policies may need to list Reroute as additional insured with primary/non-contributory and waiver of subrogation where required by a customer or state law.
E. Vehicle costs and compliance
You are solely responsible for fuel, tolls, parking, tickets, maintenance, inspections, maps, GPS services, and other operating costs.
F. Coverage if you cannot complete a Job
If you accept a Job and cannot complete it, notify dispatch through the app immediately. For scheduled Jobs, provide as much advance notice as practicable. Failure to provide reasonable notice for an accepted Job may result in offset, deactivation, or other remedies under this Agreement and the Driver Deactivation Policy.
G. Technology during active Jobs
While performing an accepted Job, you must keep the Reroute app active and use required features (including location, scanning, photos, signatures, and status updates) unless you lawfully declined the Job because of those requirements. Failure to use required technology for an accepted Job may result in earnings adjustment, offset, or deactivation.
H. Customer billing
You may not bill any customer directly for Services. All revenue for Platform Jobs belongs to Reroute or its customers as applicable. Any payment received for a Platform Job must be promptly remitted as instructed in the app or by dispatch.
I. Cash and payment collection
If a Job requires you to collect cash or payment from a recipient, you are responsible for the full amount until properly delivered to Reroute or the customer as instructed. Shortages may be offset against Earnings.
J. Prohibited and restricted items
You may not knowingly transport items prohibited under customer Terms, Platform policies, or applicable law, including illegal or stolen goods, undisclosed hazardous materials, firearms (except where law and the Job expressly permit), cash or cash equivalents as cargo, or other restricted items disclosed at onboarding. Refuse, return, or escalate prohibited items through the app or dispatch.
K. Tips, ratings, and performance data
Optional customer tips processed through the Platform are not guaranteed and may be subject to payment-processor timing, chargebacks, or adjustments. Reroute may use ratings, completion metrics, complaint history, GPS and proof-of-delivery records, and Service Failure history to determine offers, earnings eligibility, and deactivation under this Agreement and the Driver Deactivation Policy.
L. Freight, platform-matched helpers, returns, and route Jobs
Some Jobs require freight equipment, retailer return procedures, or a route with multiple stops shown before acceptance. Some freight Jobs may also require a second independent driver who must accept a separate Platform Job offer—they are not your employee, subcontractor, or helper hired by you. If you accept a Job, you agree to its Job-specific requirements and must personally perform your assigned portion. Do not accept Jobs you cannot personally perform with your vehicle and credentials.
M. Second-driver freight legs
When Reroute matches a second driver for a two-person freight Job, the vehicle driver and second driver each accept a separate Platform Job with its own Earnings. The second driver assists on site (loading, unloading, stairs, coordination) and is not required to operate the commercial haul vehicle. GigSafe CAL, OcAcc, and Cargo programs described in Pay & Protection apply to each leg based on that driver’s settlement while performing their accepted Job—including driving to and from the work site under dispatch. Cargo coverage primarily protects goods in care, custody, and control during transport. Policy terms govern all coverage.
8. Service Failures and Remedies
A "Service Failure" means any of the following with respect to an accepted Job:
- Failure to lawfully take custody of items, including required scanning or verification;
- Failure to pick up or deliver within accepted time frames where shown in the app;
- Failure to safely transport items in accordance with law;
- Failure to deliver undamaged items to the intended recipient or complete required proof of delivery;
- Failure to report overages, shortages, damage, tampering, or incidents promptly;
- Failure to return undeliverable items as instructed;
- Failure to communicate with Reroute or the customer on reasonable requests regarding completion;
- Failure to use required technology for an accepted Job; or
- Failure to meet service terms you accepted for that Job.
Remedies
For a Service Failure, Reroute may withhold or forfeit Earnings for the affected Job, offset amounts owed, charge reasonable recovery costs, and/or deactivate your account under the Driver Deactivation Policy. Repeated or egregious failures may result in additional offsets up to the greater of $100 per failure or documented damages, to the extent permitted by law.
9. Proof of Delivery Standards
You must capture required proof of delivery accurately and promptly using the methods shown in the app.
- When a signature is required, enter the recipient’s first initial and full last name in capital letters (example: "J SMITH").
- For approved unattended or driver-release deliveries, enter "DR" plus the location in capital letters as customer rules require (examples: "DR FD" for front door, "DR PORCH," "DR CARPORT").
- Commercial unattended release is prohibited unless expressly approved in writing by Reroute or the customer.
- Upload photos, barcodes, bills of lading, packing slips, or other documents when the Job requires them.
- Customer addresses, phone numbers, and order details are confidential and for job completion only.
10. Cargo Handling; Platform Not Insurer
Cargo liability for loss, damage, or condition of items is primarily between you and the customer. Reroute is a technology platform only—not a common carrier, insurer, or bailee. You do not insure cargo. Handle all items carefully; follow app instructions for photos, signatures, and proof of delivery. Report loss, damage, tampering, prohibited items, or safety concerns immediately. If you or Reroute lose or damage cargo, Reroute’s maximum platform liability is $100 per delivery (subject to investigation and the customer Terms). Negligent handling, theft, or misrepresentation may result in deactivation, withheld Earnings, offset, or other remedies.
- Customers are informed that cargo claims are primarily between them and you. Cooperate with reasonable cargo inquiries and Reroute investigations. Do not make unauthorized settlement promises beyond Platform policies.
- Direct customer cargo claims should be handled honestly and in good faith. Reroute may facilitate communication but is not the insurer of record and does not guarantee reimbursement outside published Platform limits.
- You are responsible for securing items in your vehicle, following special handling instructions, and completing required verification steps shown in the app.
11. Pharmacy and Medical Delivery Confidentiality
If you accept a pharmacy or medical delivery, use patient, pharmacy, recipient, and order information only for that Job and only to the minimum extent necessary. You may not screenshot, copy, post, sell, share, or reuse pharmacy or patient information. You may not open sealed prescription bags, photograph prescription labels or medication details unless expressly required, provide medication counseling, answer medical questions, or leave restricted pharmacy deliveries unattended. Complete the ID scan (license-back barcode, only when the customer requested ID), age, recipient-name, temperature/storage-notice, and incident-reporting steps shown in the app. Do not collect a signature on the device. Escalate loss, theft, tampering, wrong-recipient concerns, temperature concerns, privacy concerns, pharmacy refusal, or failed delivery immediately and return items when required.
12. Safety Requirements
Safety is a shared priority for drivers, customers, and the public.
- Operate only a properly licensed, insured, and maintained vehicle that you personally drive. You must be at least 21 years old, pass background and motor vehicle checks, and meet Platform eligibility requirements.
- Do not drive while impaired by alcohol, drugs, or any substance that affects safe operation.
- For vehicles over 10,001 lbs GVWR used in Services, comply with applicable FMCSA, USDOT, and state commercial motor vehicle rules, including USDOT numbers, weigh-station stops, and electronic logging requirements where applicable.
- Report accidents, injuries, property damage, and unsafe conditions immediately through the app or dispatch and cooperate with insurance and law-enforcement inquiries.
- Cooperate with reasonable safety requests, including removal from service if Reroute identifies you as unsafe, reckless, or abusive while using the Platform.
- Customers or Reroute may request optional safety technology (such as dash cameras or safety apps). You may decline Jobs that require technology you do not wish to use; if you accept, use it as required for that Job.
13. Background Checks and Identity Verification
You authorize background and identity checks as described in the Background Check Authorization. Cooperate with verification requests and provide accurate documents. Failure to pass or maintain eligibility may result in deactivation.
14. Payment, Fees, and Adjustments
Earnings are calculated as shown in the app for each Job and paid on the schedule disclosed in the app (typically weekly through GigSafe or another designated payment processor).
- The app may show estimated net breakdowns (for example, occupational accident, commercial auto, or cargo deductions through GigSafe based on settlement amount and vehicle class). Those views are informational and do not change gross Earnings recorded by Reroute for the Job.
- Earnings may be processed by GigSafe, Stripe, or other designated payment processors subject to their terms and verification requirements.
- Optional customer tips remitted through the Platform are subject to processor timing, chargebacks, and adjustments disclosed in the app.
- If a customer cancels after you accept but before pickup, cancellation pay is the proven wasted-trip amount (miles and time toward pickup shown in the app), not a flat 50% of the Job. If GPS does not show you started toward pickup, cancellation pay is $0. Tips on cancelled Jobs are not earned.
- Provide accurate earnings, tax, and banking information when requested.
- We may withhold or offset Earnings for chargebacks, customer refunds, Service Failures, policy violations, cash shortages, equipment losses, background-check or program fees disclosed at onboarding, or amounts you owe Reroute.
- We do not guarantee any minimum number of jobs, earnings, or hours.
15. Taxes
You are solely responsible for all taxes arising from your earnings, including income and self-employment taxes. Reroute does not provide tax advice.
16. Equipment, Location, and App Permissions
You consent to the app requesting device permissions (location, camera, notifications, and others as needed) to offer jobs, navigate, capture proof of delivery, and maintain safety. Keep the app updated to a supported version. Continuous or background location may be used while you are available for or performing Jobs, as disclosed in the app and Privacy Policy. Return any Reroute-provided equipment (hand trucks, scanners, branded items, etc.) promptly when requested; loss may be offset against Earnings.
17. Confidentiality; Non-Solicitation; Platform Property
Platform software, pricing algorithms, non-public policies, and operational data are Reroute confidential information.
- Do not copy, scrape, reverse engineer, or disclose non-public Platform information.
- Do not copy customer or order data to personal devices or accounts except as required to complete a Job in the app.
- During your use of the Platform and for twelve (12) months after deactivation, do not solicit Reroute customers or shippers you served through the Platform to use competing delivery services that bypass Reroute, or recruit Reroute drivers to leave the Platform, except as permitted by law.
- Upon deactivation, return or delete Reroute or customer confidential information in your possession.
- You grant Reroute a license to use job photos, communications, and performance data to operate, improve, and enforce the Platform.
18. Professional Conduct; No Disparagement
Do not take action contrary to the interests of Reroute or its customers, and do not make false, misleading, or disparaging public statements about Reroute, its customers, or its business practices. Material breaches may result in immediate deactivation.
19. Cooperation and Legal Process
Cooperate reasonably with Reroute in resolving customer complaints, safety reviews, insurance claims, and legal matters related to Services you performed. After deactivation, Reroute may request assistance at a reasonable hourly rate not exceeding your then-current average per-job earnings, with pre-approved expenses. Notify Reroute within two (2) business days if you receive a subpoena or legal notice related to Platform Services before responding, so Reroute may seek protective orders where appropriate.
20. Deactivation and Termination
Reroute may suspend or deactivate your access at any time under the Driver Deactivation Policy. Sections that by nature should survive (payment obligations, confidentiality, non-solicitation, indemnity, arbitration, cooperation obligations) survive deactivation.
21. Indemnification
You agree to indemnify, defend, and hold harmless Reroute and its affiliates, officers, directors, employees, and agents from claims, damages, fines, and expenses (including reasonable attorneys’ fees) arising from your driving, your breach of this Agreement, your violation of law, your vehicle or insurance, Service Failures, cargo handling, or your interactions with customers or third parties, except to the extent caused by Reroute’s gross negligence or willful misconduct where prohibited by law. Reroute may control defense and settlement of covered claims; you must pay amounts due as they become due. This indemnity reflects that you—not Reroute—perform physical transport services.
22. Dispute Resolution
Disputes between you and Reroute are subject to the Arbitration & Class Action Waiver. You waive jury trial and class actions to the extent permitted by law.
23. Modifications
We may update this Agreement and related policies. Material changes will be notified in-app or by email. Continued access to driver features after the effective date constitutes acceptance unless deactivation is required by law.
24. General Provisions
This Agreement, together with the documents referenced herein, is the entire agreement between you and Reroute regarding driver services.
- If any provision is invalid, the remainder remains in effect and may be reformed to the maximum extent permitted by law.
- Headings are for convenience only and do not affect interpretation.
- Electronic acceptance, clickwrap, in-app signatures, and records delivered electronically are binding under applicable ESIGN and UETA laws.
- Reroute may assign this Agreement to an affiliate or successor in connection with a merger, acquisition, or sale of assets; you may not assign without our written consent.
- Reroute does not tolerate discrimination, harassment, or retaliation on the Platform. Violations may result in immediate deactivation.
- THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Reroute does not warrant uninterrupted access, error-free software, or continuous job offers.
- Except for undisputed Earnings owed for Jobs you completed in accordance with this Agreement, Reroute’s total liability to you for Platform-related claims is limited to the greater of (a) Platform fees Reroute retained from your completed Jobs in the twelve (12) months before the claim or (b) $100, except where prohibited by law. Reroute is not liable for consequential, incidental, indirect, special, or punitive damages.
- Launch and operating jurisdictions (including NY, PA, NJ, and DE) may impose additional requirements disclosed in-app, by email, or in state/local addenda. Mandatory local law controls for that issue and jurisdiction.
- Automated matching, pricing, and dispatch tools assist job offers but do not guarantee offers, routes, earnings, or outcomes.
- Governing law is Pennsylvania (or Delaware for entity matters), without regard to conflict principles.
